4.3 Client Responsibilities

Clients agree to:

  • Cooperate with Neura Vision personnel in good faith

  • Provide access to necessary systems, data, and personnel as agreed
  • Make timely payments as specified in the service agreement

5. Fees and Payment

5.1 Service Fees

Fees for Services will be specified in the applicable service agreement. Unless otherwise stated, all fees are in Australian Dollars (AUD) and exclude GST.

5.2 Payment Terms

Payment terms will be specified in each service agreement. Standard payment terms are net 30 days from invoice date unless otherwise agreed.

5.3 Late Payment

Late payments may incur interest charges at the rate of 2% per month or the maximum rate permitted by law, whichever is lower.

6. Confidentiality

6.1 Mutual Obligations

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of engagement. This obligation survives termination of services.

Confidentiality obligations do not apply to information that:

  • Is or becomes publicly available through no breach of this agreement
  • Is independently developed without use of confidential information
  • Is required to be disclosed by law or court order

7. Data Protection and Privacy

7.1 Privacy Commitment

We are committed to protecting your privacy and handling your personal information in accordance with the Australian Privacy Act 1988 and the Privacy Principles. Please refer to our Privacy Policy for detailed information.

7.2 Data Security

7.3 Client Data

For data provided by Clients during service delivery, ownership remains with the Client. We will use Client data only for the purposes of delivering agreed Services.

8. Intellectual Property Rights

8.1 Pre-Existing IP

Each party retains ownership of their pre-existing intellectual property.

8.2 Deliverables

Ownership of deliverables and work products will be specified in the service agreement. Unless otherwise agreed, Clients receive a license to use deliverables for their business purposes.

8.3 Neura Vision Methodologies

Our proprietary methodologies, frameworks, tools, and techniques remain our intellectual property and may be used across multiple client engagements.

9. Warranties and Disclaimers

9.1 Professional Services

We warrant that Services will be performed in a professional and workmanlike manner consistent with industry standards.

9.2 Website Disclaimer

The website and its content are provided “as is” without warranties of any kind, either express or implied. We do not warrant that:

  • The website will be uninterrupted or error-free
  • Defects will be corrected
  • The website is free from viruses or harmful components

9.3 No Guarantee of Results

While we strive for excellence, we cannot guarantee specific business outcomes or results from our Services.

10. Limitation of Liability

10.1 Maximum Liability

To the maximum extent permitted by law, our total liability for any claims arising from or related to Services shall not exceed the fees paid by the Client for the specific Services giving rise to the claim in the 12 months preceding the claim.

10.2 Excluded Damages

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost data.

10.3 Exceptions

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Australian law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

11. Termination

11.1 Termination Rights

Either party may terminate a service engagement in accordance with the terms specified in the applicable service agreement.

11.2 Effect of Termination

Upon termination:

  • Client shall pay for all Services rendered up to the termination date
  • Each party shall return or destroy confidential information of the other party
  • Provisions that by their nature should survive shall continue in effect

12. Indemnification

Clients agree to indemnify and hold harmless Neura Vision from any claims, damages, or expenses arising from:

  • Client’s breach of these Terms or any service agreement
  • Client’s violation of any laws or third-party rights
  • Client’s use of deliverables or Services

13. Force Majeure

Neither party shall be liable for failure to perform obligations due to causes beyond reasonable control, including natural disasters, war, terrorism, pandemic, government actions, or telecommunications failures.

14. General Provisions

14.1 Governing Law

These Terms are governed by the laws of Victoria, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Victoria.

14.2 Entire Agreement

These Terms, together with any service agreement and Privacy Policy, constitute the entire agreement between the parties regarding the subject matter.

14.3 Amendments

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the website. Continued use of Services constitutes acceptance of modified Terms.

14.4 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

14.5 Waiver

Failure to enforce any provision does not constitute a waiver of that provision or any other provision.

14.6 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
